Romano’s Macaroni Grill (“RMG”, www.macaronigrill.com) a full-service, casual dining restaurant is the 2nd largest Italian concept in the U.S. RMG operates 209 units in 40 states, and generated approximately $600 million in revenues as of its fiscal year-end July 2008. RMG offers chef-created dishes and menus including signature pastas, pizzas, grilled steak, seafood, salads and gourmet desserts. In 1990, Brinker International (“Brinker”, NYSE: EAT), one of the world’s leading casual dining restaurant companies, acquired the concept. Brinker expanded the chain and integrated RMG into its portfolio of restaurants that currently include Chili’s, On The Border and Maggiano’s. In August 2008 Brinker sold RMG in order to focus on its largest flagship concept, Chili’s. Mac Acquisition LLC, a unit of Golden Gate Capital, a leading private equity firm acquired the concept. Brinker will retain a minority ownership position in RMG in order to both maximize the value to Brinker’s shareholders and contribute to the success of RMG as a stand-alone entity going forward.
Golden Gate Capital is a private equity firm has $9 billion in capital under management. As a multi-sector fund, it invests in a number of industries: software and IT services, semiconductors, electronics, consumer products and retail, financial and business services, and media. In 2007 alone, Golden Gate Capital purchased the retail mall chain Express for $548 million, semiconductor company Aeroflex, and sales company Cydcor. Golden Gate Capital also owns interests in Orchard Brands and Herbalife. It sold owner interest in Spiegel to Granite Creek Partners in 2008.
